Terms of Service

Draft for attorney review. This is a draft for a lawyer to review. It is not legal advice, and it is not in effect until counsel approves it and the operator replaces every value marked for completion.

Effective 2026-10-18.

These Terms of Service are a contract between North Crest Ventures LLC ("Fieldline," "we," "us") and the field-service business that opens an account (the "shop," "you"). Fieldline is a multi-tenant, white-label lead-to-cash service for residential shops such as HVAC and plumbing. The people who call or text the shop, and whose homes the shop visits, are the shop's customers. They are not parties to these terms.

If you do not agree, do not use Fieldline. The shop's owner or an admin accepts these terms for the shop and for the people the shop allows to sign in.

The service

Fieldline helps a shop take a lead through scheduling, an estimate, a job, an invoice, and a recorded payment. Depending on how the shop is set up, that includes:

  • A dashboard for office staff and a day view for technicians.
  • Leads, customers, service addresses, equipment, jobs, schedules, estimates, invoices, and payments the shop enters.
  • An optional virtual receptionist that answers calls, and SMS the shop's workflows send.
  • Customer links for an estimate signature and a portal that shows that customer's estimates, invoices, and jobs.
  • Imports from a file the shop uploads, and lead posts from a site or tool the shop connects.
  • Optional scheduling the shop connects, and summaries of receptionist conversations.

The shop's own name, logo, and color can appear in the product. That display does not make Fieldline the contractor. The shop is the business its customers hire.

Fieldline may change, limit, or retire a feature. We do not promise a particular uptime, a particular carrier route, or that the virtual receptionist will understand every caller.

Accounts and roles

Each person signs in with an email and a password. Passwords are stored as a hash. A password-reset link expires after a short time (30 minutes by default) and is stored only as a hash. Signing in returns a short-lived access token (15 minutes by default) and a refresh token (30 days by default). The dashboard keeps those tokens in the browser's local storage. Sign out on a shared computer. Reuse of a revoked refresh token revokes that person's refresh tokens and signs out their access tokens.

Roles are per shop:

  • Admin. Runs the shop account, including setup and who is a member. The admin is responsible for the account.
  • Dispatcher. Runs the office: leads, the schedule, estimates, and invoices.
  • Technician. Sees their own day and the jobs assigned to them.

A person may belong to more than one shop. If they do, they choose the shop at sign-in, and the product shows that shop's data only. The role checked on a request is the membership for the shop they are in, not a single global role.

The shop will:

  • Give access only to people who need it, and remove access when someone leaves.
  • Keep credentials personal. A shared login is the shop's responsibility.
  • Make sure each admin understands these terms and the Privacy Policy.

We may suspend a user who appears compromised or who breaks these terms.

The shop's customers

The shop decides what to collect about its customers and why. For that information, the shop is the business and Fieldline is the service provider (and, where the law uses the word, the processor). We use it to provide Fieldline to the shop, to secure the service, and as the law requires. We do not sell it, and we do not use it for our own marketing.

The shop is responsible for its customers' notice and consent. That includes, without limitation:

  • Telling customers that the shop uses a software service, a virtual receptionist, text messages, and, where used, call recording.
  • Getting any consent the law requires before a call is recorded. California is an all-party-consent state. Every party to the call must consent before recording. The default greeting says the call may be recorded. That sentence does not, by itself, satisfy every consent rule, and it does not cover a greeting the shop changes, a call a person answers, or a caller who is in a state with its own rule. The shop, not Fieldline, is responsible for consent.
  • Getting consent before text messages, honoring opt-outs, and meeting the Telephone Consumer Protection Act (TCPA) and the carrier's A2P 10DLC rules. See "Text messages" below.
  • Sending estimate links and customer-portal links only to the person who should see them. Anyone with the link can open it.
  • Having the rights to the name, logo, photos, and other content the shop uploads.

The shop will indemnify North Crest Ventures LLC and its contractors against claims, damages, and reasonable attorneys' fees arising from the shop's customer data, the shop's failure to get a required consent, the shop's content, or the shop's misuse of the service. This is a draft allocation for counsel to confirm.

Acceptable use

The shop will not, and will not let its users:

  • Break the law, or help someone else break it.
  • Record a call without the consent the law requires, or text a person who has not consented or who has opted out.
  • Try to read or change another shop's data, probe the service, or bypass signing in.
  • Upload malware, or overload the service.
  • Store information the shop has no right to hold, including a child's information as a customer record. See the Privacy Policy.
  • Mislead a caller into thinking the virtual receptionist is a person when the shop has removed the disclosure.
  • Resell Fieldline except as the white-label tool for the shop's own field-service business.
  • Use the service to send unlawful, deceptive, or harassing messages.

We may remove content or suspend access when we reasonably believe a use breaks these terms or creates a security or legal risk.

Calls and recording

Calls run through SignalWire (voice, recording, and SMS).

The virtual receptionist answers first. It can hand the call to the shop's failover number, take a voicemail, and send a text when a call is missed. The product stores call metadata (such as the caller number, the shop number, status, and a recording link when the carrier provides one), the transcript of the receptionist conversation, and a short summary for the dispatcher. The audio file itself stays with the carrier at the recording link.

The shop is responsible for all-party consent, including in California, as described above. Do not turn recording on for a jurisdiction or a caller where that consent is missing.

Text messages

SMS is sent and received through the same carrier. Messages can include missed-call texts, booking and reminder texts, review requests, and replies in a conversation. Message content is stored with the shop's account.

The shop will:

  • Have a prior consent that satisfies the TCPA and applicable state law before a marketing or automated text.
  • Register the traffic the carrier requires, including A2P 10DLC, and send only the kind of messages that registration allows. Unregistered traffic may be filtered. The product can run voice-only, with no outbound texts, until that registration is in place.
  • Tell recipients how to opt out. Some Fieldline templates say "Reply STOP to opt out." The shop must keep that kind of instruction where the law requires it, including on messages whose default copy does not already include it.
  • Honor STOP, UNSUBSCRIBE, CANCEL, QUIT, and END, and any other opt-out the carrier or the law treats as final. Fieldline stores the inbound message. It does not keep a separate suppression list. The shop must not start another text to a number that has opted out, through Fieldline or otherwise.
  • Promptly handle HELP requests and keep the shop's sending identity accurate.

The shop is the sender its customers see. Fieldline transmits what the shop's workflows send.

Fees and billing

Fees for Fieldline itself, if any, are whatever North Crest Ventures LLC and the shop agree in an order, a subscription, or an invoice. These terms do not set a price. Amounts are in U.S. dollars unless the order says otherwise. The shop pays its own taxes on those fees.

The shop's prices to its own customers are the shop's charges. Fieldline records payments the shop enters (card, ACH, cash, check, or other) as an amount, a method, a status, and a reference. It does not collect or store a full card number, bank account number, or card security code, and it does not move the customer's money. A live card processor is not connected. Recorded card and ACH payments are marked with a simulated processor until a processor is named in a written agreement.

If a Fieldline fee is past due, we may suspend access after notice, and we may end the account if it stays unpaid. Suspension does not erase the shop's duty to pay amounts already earned.

Ending the service, export, and deletion

The shop may stop using Fieldline by written notice to the contact email below. We may suspend or end access for nonpayment, a material breach that is not fixed within a reasonable time after notice, a legal requirement, or a security risk. We may suspend immediately, without advance notice, when delay would create a security or legal risk, and we will tell the shop afterward.

When the account ends, users lose access.

Export. Before the account ends, or within 30 days after it ends, the shop may email arnold_morales@icloud.com and ask for a copy of its customer, job, estimate, invoice, and related records. We will provide that copy in a common machine-readable form within 30 days after the request. There is not a self-serve button that downloads every table. Import of the shop's old files is separate and does not by itself produce this export.

Deletion. Within 90 days after the account ends, we delete the shop's data from the production database, except where the Privacy Policy allows a longer hold (for example, tax and accounting records, a security investigation, or copies in the host's backups until those backups age out). After that deletion we cannot restore the shop's records from the product. Export first if the shop needs the file.

Sections that by their nature should survive (fees already earned, disclaimers, the liability cap, indemnity, and governing law) survive the end of the account.

Disclaimers

Fieldline is a software tool. It is not a licensed contractor, a law firm, a tax advisor, or a payment facilitator.

The virtual receptionist, transcript summaries, and schedule suggestions can be wrong, incomplete, or unavailable. The shop checks anything a customer will rely on, including appointment times, prices, and the scope of work. Estimates, invoices, and signatures are the shop's documents.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, OR LOST DATA, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT THE LAW ALLOWS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THE SERVICE OR THESE TERMS IS CAPPED AT THE AMOUNT THE SHOP PAID North Crest Ventures LLC FOR FIELDLINE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF THE SHOP PAID NOTHING IN THAT PERIOD.

These limits do not apply to the shop's duty to pay fees already earned, to a party's fraud or willful misconduct, or to any liability California law does not allow a contract to limit. The shop's customers are not third-party beneficiaries of these terms, except that the Privacy Policy tells them how to reach us about their information.

Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in California have exclusive jurisdiction, and each party consents to that venue. Counsel should confirm whether a different venue or a dispute process belongs in the final version. These terms do not require arbitration.

If a provision is unenforceable, the rest remains in effect.

Changes

We may update these terms by posting the new version at this page and changing the effective date. If a change materially reduces the shop's rights, we will give notice by email to a shop admin, or in the product, before the new date, when we have an email on file. Continued use after the effective date is acceptance of the new terms. If the shop does not agree, it should stop using Fieldline and ask for the export described above.

The Privacy Policy describes how personal information is handled. Where these terms and an order disagree about price or the length of a subscription, the order controls. These terms control the handling of personal information and the liability cap unless a signed order says otherwise in a specific sentence.
